Q1 2026 — Consolidation update

Q1 2026 was the consolidation quarter. The Cyprus parent — Nexleaf Group Ltd, HE 485078, Limassol — was incorporated 9 December 2025 to roll up the operating brands under a single holding entity.

Live brands at quarter end. Cannabuben (CBD direct-to-consumer, Germany — operating since 2022, 2,500+ verified customers on Trustpilot) and Hempwholesale Europe (B2B distribution arm — co-founded with Cannabuben in 2022; commerce launched B2C and B2B in parallel from day one). Highpurchase (headshop, Germany — 2024). Docto24 Germany (patient telemedicine — 2025). Weedoro (cannabis community platform — 2025). Five live brands across commerce, clinical, and community.

Payments. Gatorpay continues in pre-customer pilot since Q4 2025. Technical integrations are in place with Ramp, MoonPay, Transak, and Onramp Money. Architecture: customers pay in EUR via SEPA Instant; merchants settle in USDT, USDC, ETH, BNB, MATIC, or SOL. First paying merchants are scheduled across 2026 as portfolio commerce migrates onto the rail.

Telemedicine regulatory. Germany's federal government has proposed restrictions on remote prescription of medical cannabis under the MedCanG amendments. Docto24 Germany is preparing for a transition to in-person initial consultations with remote follow-up prescriptions, in line with the proposed framework.

In development. Five pre-launch entries are scheduled across the next four quarters: Nexdoc (white-label telemedicine SaaS, Germany), Hanfstecklingsshop (cultivation-supply storefront, Germany), Docto24 South Africa, Thailand telemedicine pilot, and Gatorpay first paying merchants. Each moves status only after meaningful customer activity.
